PURSUANT TO THE YEAR 2000 INFORMATION AND READINESS DISCLOSURE ACT OF 1998:
Since May of 1998, Nextcom has been involved in the assessment of the effects that the changeover to the year 2000 may have on its business operations, and the extent to which its products and internal computer-based systems are "Year 2000 ("Y2K") Compliant". Included in its assessment have been inquiries as the extent to which its key suppliers, major customers and other key business partners are, or plan on being, Y2K Compliant. These assessments are ongoing in nature and information regarding the Y2K issue is constantly changing. Therefore, Nextcom cannot be responsible for the completeness of the information provided or its applicability to your particular company. The information provided herein, most of which comes from third party manufacturers, may not be exhaustive, is intended for informational purposes only, and does not constitute a certification, representation, expressed or implied, of any kind. We define Y2K Compliant products as those which, when used in accordance with their associated documentation, will not fail to perform in accordance with their specifications or as otherwise warranted, in any manner that is material and adverse to the customer, as relating to the products handling of calendar dates, provided however, that the products are used only with services, products and/or software that are themselves Y2K Compliant and which properly exchange accurate date data with each other.
OUR YEAR 2000 COMPLIANCE OBJECTIVES
It is our policy to take reasonable measures to offer our customers products that, to the best of our knowledge, are Y2K Compliant. To that end, we formed a Y2K Project Team to conduct the assessment of the products we sell, and of our internal computer-based operating systems. The Team is directed by Nextcoms Vice President of Operations and includes other members of senior management. The assessment has included, for products manufactured by third parties, communication with Nextcoms key suppliers and key business partners and, for Company-assembled products, internal testing of these products. For products determined to be non-compliant, our policy is to assist our customers in obtaining Y2K Compliant components or system upgrades at a reasonable cost when, and if, Y2K Compliant versions are subsequently made available.
Nextcom is also committed to ensuring that Nextcom itself will not experience any material internal business interruptions or other computer system problems relating to the advent of the Year 2000, sometimes referred to as the "Millennium Bug".
Y2K COMPLIANCE STATUS
Nextcoms significant internal computer-based systems consist of hardware and packaged software purchased from outside vendors, which operate in a Windows NT LAN environment. On September 30, 1999, Nextcom completed the process of upgrading to computer systems which, based upon representations obtained by the manufacturers, are Year 2000 Compliant. Furthermore, Nextcom has performed several tests which were passed with flying colors. Still, as a matter of precaution, we have implemented a contingency plan developed to address Company-wide operating procedures in the event of an interruption in normal business caused by a Y2K-related problem.
